1. Acceptance of Terms
By downloading, accessing, or using the Mindwise app or website (the “Services”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.
These Terms constitute a legally binding agreement between you and Mindwise App Pte. Ltd. (“Mindwise”, “we”, “our”, “us”), incorporated in Singapore. These Terms apply to all users of the Services worldwide. Where mandatory consumer protection laws in your country of residence provide rights or protections that cannot be waived by contract, those protections apply to you in full and are not affected by these Terms.
2. Description of the Services
Mindwise is a personal development and self-reflection tool that uses artificial intelligence to support journaling, pattern awareness, and personal growth. The Services are designed for personal development and self-improvement purposes only.
The Services are not a substitute for:
- Psychological therapy, counselling, or psychiatric treatment
- Crisis intervention or emergency mental health services
- Legal, financial, or other professional advice

3. Eligibility
The Services are intended for individuals aged 18 years or older, or the age of majority in your jurisdiction if higher. By using the Services, you represent and warrant that:
- You meet the minimum age requirement in your jurisdiction
- You have the legal capacity to enter into these Terms
- Your use does not violate any applicable law or regulation
- You are not located in a jurisdiction subject to embargo or sanctions that would prohibit your use of the Services
If you are under the required age, you must not use the Services. If we become aware that a user is under the minimum age, we will terminate the account and delete their data.
4. Account Registration and Security
To access the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your password secure and not share it with any third party
- Notify us immediately at support@mindwise.so of any suspected unauthorised access to your account
- Not create multiple accounts to circumvent restrictions, bans, or to accumulate credits or benefits
- Not allow any other person to use your account
You are responsible for all activities that occur under your account. We are not liable for losses arising from unauthorised use of your account where you have not taken reasonable security precautions.
5. Acceptable Use
Mindwise is for lawful personal development and self-reflection purposes. You agree not to:
- Use the Services for any illegal, harmful, fraudulent, or deceptive purpose
- Attempt to reverse engineer, decompile, disassemble, or extract the source code of the app or underlying AI systems, except where explicitly permitted by applicable law
- Interfere with the integrity, performance, or availability of the Services, including through denial-of-service attacks or unauthorised access attempts
- Submit false, misleading, or fraudulent information to the Services or to us
- Use the Services to generate, transmit, or store content that is unlawful, defamatory, harassing, threatening, obscene, or that violates the rights of others
- Systematically extract data from the Services without authorisation
- Use the Services in a way that could mislead others into believing they are receiving professional medical, therapeutic, or legal advice
- Attempt to circumvent safety filters, content moderation systems, or other technical protective measures
- Use the Services to train, develop, or improve a competing AI product or service without our prior written consent
We reserve the right to suspend or terminate accounts that violate these Terms without prior notice where necessary to protect the Services or other users.
6. No Medical, Psychological, or Professional Advice
The Services, including all AI-generated content, do not constitute and must not be treated as:
- Medical advice, diagnosis, treatment, or therapy
- Psychological or psychiatric counselling or treatment
- Crisis intervention or emergency support
- Legal, financial, or any other form of professional advice
AI-generated responses may be inaccurate, incomplete, or unsuitable for your specific situation. The AI does not know your complete personal circumstances, medical history, or mental health status and is not qualified to provide professional advice of any kind.
You are solely responsible for your decisions and actions. Mindwise expressly disclaims all liability for any harm, injury, or adverse outcome resulting from reliance on AI-generated content as a substitute for professional advice or services.
7. Privacy, Data, and Consent
Our Privacy Policy explains in full how we collect, use, store, and share your personal data. The Privacy Policy forms part of these Terms.
Separate explicit consent is required for processing your sensitive personal data and is obtained through a dedicated consent screen at onboarding — not through acceptance of these Terms. This consent is required to use the Services. Without it, we cannot provide the core functionality of Mindwise.
If you wish to withdraw consent and have your data deleted, you may delete your account at any time through Settings › Account › Delete Account or by contacting support@mindwise.so.
The licence you grant us in Section 10 (User Content) does not constitute a legal basis for processing your sensitive personal data for AI model training. A separate explicit legal basis is always required for that purpose and is governed exclusively by the Privacy Policy.
8. AI System Transparency
When you use Mindwise, you are interacting with an artificial intelligence system. AI-generated responses:
- Are generated automatically based on your inputs, interaction history, and contextual information
- May not always be accurate, complete, or appropriate for your situation
- Do not represent the views, advice, or recommendations of a qualified human professional
- Are intended solely to support personal reflection and development
Mindwise uses human-defined safety constraints, rules, and monitoring processes to reduce the risk of harmful outputs. Certain inputs may trigger automatic safety responses or referrals to external support resources. You may report AI responses you consider inappropriate or harmful through the in-app report function or by contacting support@mindwise.so.
9. AI Risk and User Responsibility
You acknowledge that use of AI-based personal development tools involves certain inherent considerations:
- AI-generated content may reinforce existing patterns of thought rather than challenge them
- Prolonged reliance on AI feedback without human connection or professional support may not be appropriate for all individuals or situations
- The Services are designed to encourage user autonomy and independent decision-making, not to create dependency
Mindwise is intentionally designed to avoid manipulative, coercive, or directive interactions and to encourage you to seek qualified professional support when appropriate. You remain fully responsible for how you interpret and act upon AI-generated content.
10. User Content and Licence
You retain full ownership of the content you submit to the Services (“User Content”). By submitting User Content, you grant Mindwise App Pte. Ltd. a worldwide, non-exclusive, royalty-free licence to use, reproduce, store, process, and display your User Content solely as necessary to provide, maintain, protect, and improve the Services, and to comply with applicable legal obligations.
This licence does not extend to the use of your sensitive personal data (emotional states, mood data, session content) for AI model training. A separate explicit legal basis is always required for that purpose. Anonymised or aggregated data that cannot identify you may be used for product improvement without separate consent. Our AI inference provider is contractually prohibited from training their own models on your data under a Zero-Data Retention agreement.
You represent and warrant that your User Content does not infringe the rights of any third party and does not violate any applicable law.
11. Intellectual Property
All content, software, design, trademarks, trade names, logos, and other intellectual property rights in or relating to the Services are owned by Mindwise App Pte. Ltd. or our licensors and are protected by intellectual property laws worldwide.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable, personal licence to access and use the Services for your own non-commercial personal development purposes. You may not:
- Copy, modify, distribute, sell, rent, sublicence, or create derivative works from our content or technology
- Use our trademarks or branding without prior written permission
- Remove or obscure any copyright, trademark, or proprietary notices
Except where permitted by applicable law, including fair use or fair dealing provisions.
12. Data Export and Portability
You may request an export of your personal data at any time by emailing support@mindwise.sowith ‘Data Export Request’ in the subject line. We will verify your identity and respond within the applicable statutory deadline (typically 30 days). This right is available to all users globally, not only those in jurisdictions where it is legally mandated.
13. Third-Party Services
We use third-party service providers for cloud infrastructure, AI and language model processing, voice interface (speech-to-text and text-to-speech), analytics, error tracking, payment processing, and customer support. Third-party providers are selected carefully and are required to meet our data protection standards through Data Processing Agreements. A current list of our third-party processors is available on request at dpo@mindwise.so.
Links to third-party websites or services within the Services are provided for convenience only. We are not responsible for the content, privacy practices, or security of third-party services.
14. Payments, Subscriptions, and Refunds
If you purchase a subscription or paid features:
- Prices and available plans are displayed in the app and may change with reasonable notice
- Subscriptions are billed in advance on a recurring basis and auto-renew unless cancelled before the end of the current billing period
- Cancellation must be made through the relevant app store (Apple App Store, Google Play) or our website
- We do not offer refunds except where required by applicable law or app store policy
- If a payment fails, we may suspend or downgrade access to paid features
- Prices are displayed in the currency applicable to your region and may include applicable taxes
EU/UK Consumer Rights: If you are an EU or UK consumer, you may have a statutory right of withdrawal within 14 days of purchase under the Consumer Rights Directive / Consumer Rights Act 2015, unless digital content delivery has begun with your explicit prior consent and acknowledgement that you thereby lose the right of withdrawal.
Australia Consumer Law: Nothing in these Terms limits your rights under the Australian Consumer Law.
15. Disclaimers
The Services are provided on an “as is” and “as available” basis without warranties of any kind. To the maximum extent permitted by applicable law, we disclaim:
- All implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Services will be uninterrupted, error-free, or secure
- Any warranty that AI-generated content will be accurate, complete, or suitable for any purpose
- Any warranty that use of the Services will achieve any personal development outcome
Nothing in these Terms affects mandatory warranties or consumer guarantees that cannot be excluded under applicable law, including Australian Consumer Law guarantees.
16. Limitation of Liability
To the maximum extent permitted by applicable law:
- Mindwise and its directors, officers, employees, and affiliates are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages
- We are not liable for loss of profits, data, goodwill, or other intangible losses
- We are not liable for damages arising from reliance on AI-generated content as a substitute for professional advice
- We are not liable for damages arising from unauthorised account access where you failed to take reasonable precautions
Our total aggregate liability shall not exceed the greater of: (i) amounts you paid us in the 12 months preceding the event, or (ii) SGD 100.
Mandatory exceptions — nothing in these Terms excludes or limits liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded under applicable mandatory consumer protection law, including EU Consumer Rights Directive, UK Consumer Rights Act 2015, Australian Consumer Law, Singapore Consumer Protection (Fair Trading) Act, or equivalent laws in other jurisdictions.
17. Termination and Suspension
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that:
- You have violated these Terms or applicable law
- Your use poses a security risk to the Services or other users
- We are required to do so by law or regulatory order
- Your account has been inactive for 24 months (in which case we will provide 30 days notice before any action)
You may stop using the Services and request account deletion at any time as described in our Privacy Policy. Upon termination, your right to access the Services ceases. Provisions that by their nature survive termination continue to apply (intellectual property, disclaimers, limitation of liability, governing law).
18. Changes to These Terms
We may update these Terms to reflect changes in our Services, technology, or legal requirements. For material changes:
- We will update the Effective Date and provide notice in-app or by email
- For EU/UK users: we will provide at least 30 days notice before changes take effect
- Where required by law, we will seek your acceptance of updated Terms
Your continued use after updated Terms take effect constitutes acceptance, subject to mandatory legal requirements in your jurisdiction.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. Where you are a consumer and mandatory laws in your country of residence provide protections that cannot be waived by contract, those protections apply in full. This includes:
- EU consumers: EU Consumer Rights Directive and applicable national consumer protection law
- UK consumers: Consumer Rights Act 2015
- Australian consumers: Australian Consumer Law
- US consumers: Applicable federal and state consumer protection laws
- Canadian consumers: Applicable federal and provincial consumer protection laws
Jurisdiction: Subject to mandatory consumer rights above, the courts of Singapore have exclusive jurisdiction over disputes.
EU/UK alternative dispute resolution: EU and UK users may access alternative dispute resolution (ADR) through the EU ODR platform (ec.europa.eu/odr) or applicable UK ADR schemes.
Informal resolution: Before initiating formal proceedings, contact support@mindwise.so and attempt good-faith informal resolution.
20. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the remaining provisions.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Mindwise regarding the Services and supersede any prior agreements.
